1. Acceptance of Terms
By accessing and using Deepa AI ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by any or all of the herein contained terms, please do not use this Service.
2. Use License
Deepa AI grants you a limited, non-exclusive, non-transferable license to use the Service for legitimate financial transactions only. You agree not to:
- Violate any applicable laws or regulations
- Engage in illegal activities, fraud, or money laundering
- Use the Service to send unsolicited messages or spam
- Reverse engineer, modify, or attempt to access our source code
- Interfere with or disrupt the Service's operation
- Impersonate other users or misrepresent your identity
- Transmit malware or harmful code
- Harass, threat, or abuse other users
3. Account Registration
A. Account Creation
To use our Service, you must create an account providing accurate, complete, and truthful information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.
B. Age Requirement
You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old.
C. Account Verification
We require identity verification, including submission of government-issued ID, BVN, and biometric data for compliance with anti-money laundering (AML) and Know Your Customer (KYC) regulations.
4. Service Description
Deepa AI provides a conversational payment platform that allows users to:
- Send and receive money via WhatsApp and other messaging platforms
- Pay bills and make purchases using conversational AI
- Manage financial transactions without leaving WhatsApp
- Access real-time transaction histories and account management
5. Transaction Terms
A. Limits and Restrictions
We set transaction limits based on verification level, account history, and regulatory requirements. Daily and monthly limits apply. We may increase or decrease limits at our discretion.
B. Transaction Fees
Deepa AI may charge fees for transactions, as disclosed during the transaction process. Fees are non-refundable except where required by law. Third-party providers may impose additional charges.
C. Irreversible Transactions
Once initiated, transactions are generally irreversible. We cannot recover funds sent to incorrect accounts or beneficiaries. You are responsible for verifying recipient details before confirming transactions.
D. Failed Transactions
If a transaction fails, we will attempt to reverse it within 24-48 hours. Failed transaction fees may not be refunded. Check your account for failed transaction notifications.
6. Payment Methods
We accept payments through various methods including bank transfers, mobile money, debit cards, and credit cards. You are responsible for ensuring you have sufficient funds and authorization for linked payment accounts. You agree to comply with the terms of your bank or payment provider.
7. Fund Management
A. Wallet Balance
Your Deepa AI wallet holds funds for transactions. Wallet funds may earn minimal interest as specified in our separate wallet terms. You can withdraw funds to your linked bank account at any time.
B. Unclaimed Funds
Unclaimed funds may be subject to inactive account policies. Contact support to retrieve unclaimed funds. After 5 years of inactivity, unclaimed funds may be forfeited per regulatory requirements.
8. Liability Limitations
A. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind. Deepa AI does not warrant that the Service will be uninterrupted, secure, or error-free. We disclaim all implied warranties including merchantability and fitness for a particular purpose.
B. Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, DEEPA AI'S LIABILITY IS LIMITED TO THE AMOUNT OF FEES YOU PAID IN THE 30 DAYS PRIOR TO THE EVENT CAUSING LIABILITY. IN NO EVENT SHALL WE BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.
C. User Responsibility
You use the Service at your own risk. You are responsible for verifying transaction details, maintaining account security, and reporting unauthorized access immediately.
9. Intellectual Property
All content on Deepa AI, including text, graphics, logos, images, and software, is owned by or licensed to Deepa AI and protected by copyright laws. You may not reproduce, distribute, or transmit this content without our written permission.
10. Suspension and Termination
A. Termination by User
You may request account termination at any time. Outstanding balances must be withdrawn before closure. Deletion may take 30 days to process.
B. Termination by Deepa AI
We may suspend or terminate your account if you:
- Violate these Terms of Service
- Engage in fraudulent or illegal activity
- Fail identity verification requirements
- Breach anti-money laundering laws
- Repeatedly violate platform policies
Upon termination, remaining wallet funds will be returned to your primary payment method.
11. Regulatory Compliance
We comply with Nigerian Financial Regulations Commission (FRC), Central Bank of Nigeria (CBN), and international AML/CFT standards. You agree to provide information necessary for regulatory compliance. We reserve the right to freeze accounts during regulatory investigations.
12. Dispute Resolution
A. Complaint Procedure
If you have a complaint, contact our support team at support@deepa.name.ng. We will investigate and respond within 14 days.
B. Mediation
For unresolved disputes, we will participate in mediation before arbitration or litigation.
C. Arbitration
Any dispute shall be resolved through binding arbitration under Nigerian law, rather than in court. Both parties waive the right to a jury trial.
13. Indemnification
You agree to indemnify and hold harmless Deepa AI from any claims, damages, or expenses arising from your use of the Service, your data, or your violation of these Terms.
14. Third-Party Services
The Service integrates with third-party providers (banks, payment processors, identity verification). We are not responsible for their services, data breaches, or failures. Review their terms separately.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use after changes constitutes acceptance of new terms. Please review periodically for updates.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to conflict of law principles.
